Welcome to the Northvia Group (the “Consultancy”). By engaging our services, subscribing to our resources, or using this website, you agree to the following streamlined terms and conditions, designed for clarity and execution-first partnership.

1. Scope of Services

Northvia Group provides practical, execution‑focused consultancy in sales, digital marketing, analytics, and operations. Each distinct consulting engagement (a “Project”) will be defined by a separate Statement of Work (SOW) that outlines specific deliverables, timelines, and fees. We build systems that work in the real world, and our work is limited to the scope explicitly defined in your SOW.

2. Pricing and Payment

Fees for services are structured based on the Project SOW and will be clearly communicated prior to engagement.

  • Invoicing: Unless stated otherwise, invoices are issued electronically. Payment terms are net 30 days.
  • Late Payments: Payments received 30 days after the invoice date may be subject to a late fee of 1.5% per month on the outstanding balance.
  • Cancellation: Either party may cancel an SOW with 30 days’ written notice. You are responsible for all professional hours completed and any non-refundable costs incurred up to the date of cancellation.

3. Client Responsibility and Mutual Co-operation

A fundamental growth mindset and mutual cooperation are required for Project success. To allow us to build your systems effectively, you agree to:

  • Provide Information: Offer timely access to necessary data, systems, and personnel.
  • Decision Making: Designate a point of contact empowered to make quick, clear decisions and approvals. Delay in approvals may delay Project timelines.

4. Intellectual Property

  • Client Property: You retain all rights to any pre-existing systems, data, and materials you provide to us (Client IP).
  • Consultancy Property: Northvia Group retains all rights to our pre-existing proprietary methodologies, frameworks, and templates (Northvia IP).
  • Project Deliverables: Upon full and final payment, you will own the final custom systems, designs, and content created specifically for your Project. We retain a non-exclusive license to use generic (non-confidential) elements of the deliverables for our general business purposes.

5. Confidentiality

We value transparency and trust. Both Northvia Group and the Client agree to protect all confidential information exchanged during the engagement with at least a standard, reasonable level of care. Confidential information includes non‑public business plans, financial data, Client IP, and proprietary methodologies, and will not be disclosed to third parties without prior written consent, except as required by law.

6. Disclaimer and Limitation of Liability

Our focus is on building clear, scalable frameworks. Our expertise is operational, not financial or legal.

  • No Guarantees: While we strive for measurable results, we make no performance guarantees. All systems require ongoing internal management.
  • Limitation: Northvia Group’s maximum liability for any claim related to a Project is limited to the total fees paid by you for that specific SOW. We are not liable for any indirect, incidental, or consequential damages.

7. Ethics and Compliance

Northvia Group operates with a strict code of ethics and integrity. We comply with all applicable local, provincial, and federal laws and regulations. We will not engage in, nor do we require our Clients to engage in, any fraudulent, unethical, or illegal business practices.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
